We are a Community Interest Company (CIC) Limited by Guarantee without share capital. This means:
1. The company must operate for the benefit of the community rather than private individuals.
Its activities should serve a social purpose.
2. All profits must be reinvested into the company’s activities for community benefit.
We cannot issue shares or distribute profit via dividends.
3. A statutory asset lock ensures that company assets and profits are used only for its social purpose.
4. The CIC must submit a report to Companies House each year,
explaining:
- How it has benefited the community.
- Details of any directors’ remuneration.
- Compliance with the asset lock.
This structure is commonly used by non-profits, social enterprises, and community groups that want the benefits of a company structure without shareholders profiting from the business.
